TERMS OF USE

These Terms of Use ("Terms") govern your access to and use of the Kaito Pulse browser extension (the "Extension") and any associated features, functionality, content and services made available through the Extension by Kaito ("Kaito", "we", "us" or "our).
By installing, accessing or using the Extension, you agree to be bound by these Terms. If you do not agree to these Terms, you must not install or use the Extension.
These Terms should be read together with Kaito Pulse Privacy Policy, which explains how Kaito collects, uses, stores and discloses information in connection with the Extension. Your use of particular features of the Extension may also be subject to additional terms, conditions, disclosures or requirements presented to you when you access or activate those features.
FEATURES
The Extension provides various features that may include:
displaying information relating to platforms or services referenced in publicly available content;
allowing users to verify certain information relating to supported third-party platforms or services;
displaying verification status or badges following successful verification;
providing Activity Insights and related engagement features;
providing information relating to connected accounts, including certain account attributes, balances, holdings, positions, subscription information or referral information, where supported;
supporting campaign, eligibility and rewards-related functionality; and
other features that Kaito may make available from time to time.
The features and supported platforms may change from time to time. Kaito reserves the right to add, modify, suspend or discontinue any feature of the Extension at any time.
ELIGIBILITY
You represent and warrant that:
you have full legal capacity and authority to enter into these Terms;
you are at least 18 years old, or such other minimum age as may be required under applicable law;
your use of the Extension does not violate any applicable law, regulation, contractual obligation or third-party terms applicable to you; and
all information provided by you to Kaito in connection with the Extension is true, accurate and not misleading.
Kaito may refuse to permit any person to access or use the Extension where Kaito reasonably determines that such access may expose Kaito to legal, regulatory, security, fraud or other material risks.
LICENCE
Subject to your continuing compliance with these Terms, Kaito grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to install and use the Extension for its intended purposes.
Except as expressly permitted under these Terms or applicable law, you must not:
copy, reproduce, modify, adapt, translate or create derivative works of the Extension;
sell, resell, lease, sublicense, distribute or otherwise commercialise the Extension;
reverse engineer, decompile, disassemble or attempt to derive the source code, algorithms or underlying technology of the Extension;
circumvent or interfere with any access controls, security mechanisms, usage limitations or other technical measures implemented by Kaito;
extract, scrape, systematically collect or otherwise reproduce information made available through the Extension for use outside the Extension;
use the Extension to develop, train, operate or facilitate a competing product or service; or
permit any third party to access or use the Extension through your account or in breach of these Terms.
Nothing in these Terms grants you any right, title or interest in or to the Extension or any intellectual property rights relating to it other than the limited licence expressly granted above.
KAITO ACCOUNT
Certain functionality may require you to maintain an account with Kaito. Kaito may impose reasonable account, usage, eligibility or other requirements in connection with particular features of the Extension.
You are responsible for maintaining the confidentiality and security of your account credentials and for all activities conducted through your account. You must promptly notify Kaito if you become aware of any unauthorised access to or use of your account. Kaito will not be responsible for any loss or damage arising from your failure to maintain the security of your account, except to the extent caused by Kaito's wilful misconduct or gross negligence.
ACTIVITY INSIGHTS
Activity Insights is an optional feature of the Extension. You are not required to activate Activity Insights in order to use other functionality of the Extension, except where expressly stated otherwise. Your activation of Activity Insights constitutes your affirmative election to use the associated feature and will be subject to the applicable disclosure and Kaito's Privacy Policy.
Activity Insights may generate metrics, scores, classifications or other outputs based on information collected through your use of the feature ("Activity Insights Data"). Activity Insights Data is calculated using methodologies, rules and criteria determined by Kaito, which Kaito may modify from time to time.
You acknowledge and agree that:
Activity Insights and related metrics are provided for informational and product functionality purposes;
Activity Insights are not guaranteed to be accurate, complete, current or error-free;
Kaito may exclude or invalidate activity that it reasonably determines to be fraudulent, manipulated, artificial, anomalous or otherwise inconsistent with the intended operation of the Extension; and
no Activity Insights score, metric or status constitutes a representation or guarantee as to your reputation, financial position, investment activity, influence, eligibility or any other personal attribute.
Activity Insights Data, including your Activity Insights score, metrics, rankings, badges, engagement information or other information derived from your use of Activity Insights, may be displayed or made available to other users or third parties through the Extension or related Kaito services. The extent and manner of such display or availability may vary depending on the applicable feature, campaign or service. You acknowledge that Activity Insights Data may therefore be visible to others, and you agree to such display or availability in accordance with these Terms, the applicable feature disclosures and Kaito's Privacy Policy.
You may disable Activity Insights through the functionality made available by Kaito. Disabling Activity Insights may prevent you from accessing features that depend upon Activity Insights.
THIRD-PARTY ACCOUNT VERIFICATION
The Extension may permit you to connect accounts or verify information relating to third-party platforms, applications, exchanges, protocols or services, as may be supported from time to time (each, a "Third-Party Platform").
Before connecting a Third-Party Platform, Kaito may provide a separate disclosure identifying the categories of information to be retrieved and the relevant purpose. Your decision to connect the Third-Party Platform constitutes your authorisation for Kaito to retrieve and process the information described in that disclosure, subject to the Privacy Policy.
Verification results may include, depending on the applicable Third-Party Platform and feature:
account value or balance;
spot holdings;
futures positions;
wallet ownership;
referral information;
subscription tier or subscription duration; and
other account attributes expressly identified in the applicable feature disclosure.
Any verification badge, status or other indication displayed through the Extension merely indicates that specified verification criteria were satisfied based on the information available to Kaito at the relevant time. Verification does not constitute: (a) an endorsement, certification, recommendation or guarantee by Kaito; (b) a representation that the underlying account or information remains accurate or valid; (c) a representation as to the financial condition, creditworthiness, solvency, reliability or suitability of any user or account; or (d) a representation that the relevant Third-Party Platform or account is safe, legitimate or suitable for any particular purpose.
Kaito may remove, suspend, expire or modify any verification status where: (a) the relevant verification can no longer be established; (b) the underlying information changes; (c) applicable verification criteria change; (d) Kaito reasonably suspects fraud, manipulation or abuse; or (e) Kaito reasonably considers that continued verification may create legal, regulatory, security or other risks.
THIRD-PARTY PLATFORMS
Third-Party Platforms are operated independently from Kaito. Kaito does not assume responsibility for the operation, availability, security, policies or practices of any Third-Party Platform. Your use of any Third-Party Platform remains subject to its applicable terms, privacy policies, API terms, account requirements and other rules.
Kaito does not represent or warrant that: (a) any Third-Party Platform will remain available or supported; (b) any information obtained from a Third-Party Platform will be accurate, complete or current; (c) the Extension will remain compatible with any Third-Party Platform; or (d) a Third-Party Platform will not modify, suspend or terminate its services, APIs or access mechanisms.
Kaito will not be responsible for any act or omission of a Third-Party Platform, including any outage, API change, data error, suspension, account restriction or loss of functionality.
INFORMATION DISPLAYED THROUGH THE EXTENSION
The Extension may display information derived from publicly available information, information obtained through connected Third-Party Platforms, verification providers, information generated by Kaito, or other sources made available to Kaito.
Information displayed through the Extension may include platform identifiers, verification status, account attributes, balances, holdings, positions, subscription information, referral information and other information relating to supported features.
Information displayed through the Extension is provided on an "as is" and "as available" basis and is for informational purposes only. Kaito does not warrant that any displayed information is accurate, complete, current or error-free. In particular, account balances, holdings, positions and other financial information may change rapidly and may not reflect the user's actual position at the time such information is viewed.
CAMPAIGNS AND REWARDS
Kaito may from time to time make campaigns, incentives, points, rewards or other benefits available through the Extension (collectively, "Rewards"). Participation in any campaign or use of the Extension does not, by itself, entitle you to any Reward.
Eligibility for Rewards may be subject to additional criteria, including: (a) completion of specified activities; (b) verification requirements; (c) geographic or jurisdictional restrictions; (d) KYC, AML or other compliance requirements; (e) applicable campaign-specific terms; (f) fraud and abuse checks; and (g) any other criteria specified by Kaito or the relevant campaign partner. Kaito reserves the right, in its sole and reasonable discretion, to determine whether a user satisfies the applicable eligibility requirements.
Kaito may withhold, suspend, cancel, reduce or refuse to distribute any Reward where Kaito reasonably determines that:
eligibility requirements have not been satisfied;
activity has been manipulated or artificially generated;
you have engaged in fraud, abuse, sybil activity or other prohibited conduct;
the Reward would result in a violation of applicable law or regulatory requirements;
distribution would expose Kaito or a campaign partner to legal, regulatory or compliance risk;
technical or calculation errors have occurred; or
such action is otherwise reasonably necessary to protect the integrity of the relevant campaign or the Extension.
Kaito may require additional information or verification before distributing or permitting withdrawal of Rewards.
Rewards may be subject to applicable tax obligations. You are solely responsible for determining and satisfying any taxes or other obligations arising from your receipt or use of Rewards.
PROHIBITED ACTIVITIES
You must not, directly or indirectly:
manipulate or artificially inflate Activity Insights, impressions, clicks, dwell time or other engagement metrics;
use bots, scripts, automation or other artificial means to generate engagement or satisfy campaign requirements;
operate multiple accounts or identities for the purpose of circumventing eligibility requirements or obtaining additional Rewards;
use another person's account or credentials without authorisation;
provide false, misleading or fraudulent information to Kaito or a verification provider;
attempt to circumvent Kaito's verification, anti-fraud or eligibility mechanisms;
interfere with the Extension, its infrastructure or its security features;
introduce malware, malicious code or other harmful material;
probe, scan or test the vulnerability of the Extension or any associated system without Kaito's prior written authorisation;
scrape, harvest or systematically extract information from the Extension;
use information obtained through the Extension to facilitate fraud, market manipulation or other unlawful activity;
use the Extension in violation of any applicable Third-Party Platform terms;
use the Extension in connection with any unlawful activity; or
assist, encourage or permit any other person to engage in any of the foregoing.
INTELLECTUAL PROPERTY
All rights, title and interest in and to the Extension and all associated software, technology, interfaces, designs, trademarks, logos, content, methodologies, algorithms, databases and other materials are owned by or licensed to Kaito.
Except for the limited licence expressly granted under these Terms, no rights or licences are granted to you, whether expressly, by implication, estoppel or otherwise.
You acknowledge that Kaito may use, develop and commercialise its underlying technologies, methodologies, algorithms, metrics and systems independently of your use of the Extension, subject always to the Privacy Policy and applicable law.
FEEDBACK
Any suggestions, recommendations, ideas, comments or other feedback relating to the Extension that you provide to Kaito ("Feedback") may be used by Kaito without restriction. You hereby grant Kaito a worldwide, perpetual, irrevocable, transferable, sublicensable and royalty-free licence to use, reproduce, modify, adapt, publish, distribute and otherwise exploit such Feedback for any purpose without compensation or attribution.
AVAILABILITY AND MODIFICATIONS
Kaito does not guarantee that the Extension or any particular feature will be available at all times.
Kaito may, at any time and without liability:
modify, suspend or discontinue any feature;
change the functionality, methodology, interface or technical requirements of the Extension;
add or remove supported Third-Party Platforms;
impose or modify usage limitations; or
suspend access where reasonably necessary for maintenance, security, legal or regulatory compliance, fraud prevention or other legitimate operational purposes.
SUSPENSION AND TERMINATION
Kaito may immediately suspend, restrict or terminate your access to the Extension or any feature if:
you breach these Terms;
Kaito reasonably suspects fraud, abuse, manipulation or other prohibited activity;
your use creates or may create legal, regulatory, security or reputational risk to Kaito or another person;
required by applicable law, a regulatory authority or a Third-Party Platform;
it is necessary to protect the Extension or its users; or
Kaito discontinues the relevant feature or Extension.
Kaito is not liable to you for any loss arising from a suspension or termination carried out in accordance with this Section. You may terminate your use of the Extension at any time by uninstalling the Extension and ceasing to use it. Termination will not affect rights or obligations accrued before termination or provisions which by their nature are intended to survive termination.
NO WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE EXTENSION AND ALL INFORMATION, FEATURES AND SERVICES MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Kaito DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY AND RELIABILITY.
Kaito does not warrant that the Extension will operate uninterrupted or error-free, will be secure or free from vulnerabilities, will be compatible with any particular browser, website, device or Third-Party Platform, will produce any particular Activity Insights result, verification result or Reward, or will satisfy any particular requirements or expectations of yours.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Kaito and its affiliates, officers, directors, employees, contractors, agents and service providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenue, business, goodwill, opportunity, anticipated savings or data, arising out of or in connection with:
your use of or inability to use the Extension;
any information displayed through the Extension;
any Activity Insights metric or verification result;
any Reward or failure to receive a Reward;
any Third-Party Platform;
any interruption, suspension or termination of the Extension; or
any unauthorised access, security incident or loss of data,
whether arising in contract, tort, negligence, statute or otherwise, even if Kaito has been advised of the possibility of such loss.
To the maximum extent permitted by applicable law, Kaito's aggregate liability arising out of or relating to these Terms or the Extension will not exceed the greater of: (a) US$100; or (b) the total amount actually paid by you to Kaito for use of the Extension during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless Kaito, its affiliates and their respective officers, directors, employees, contractors and agents from and against any claims, demands, actions, proceedings, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) your violation of applicable law or any third-party rights; (c) your misuse of the Extension; (d) your fraudulent, abusive or manipulative activity; (e) your violation of any applicable Third-Party Platform terms; or (f) any dispute between you and a Third-Party Platform.
CHANGES TO THESE TERMS
Kaito may amend these Terms from time to time. Where changes are material, Kaito may provide notice through the Extension, its website, email or other reasonable means.
Your continued access to or use of the Extension following the effective date of revised Terms constitutes your acceptance of the revised Terms, to the extent permitted by applicable law.
Where a change requires separate user consent under applicable law, Kaito will obtain such consent through the relevant user interface.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms and any dispute or claim arising out of or in connection with these Terms or your use of the Extension, including any question regarding their existence, validity or termination, shall be governed by and construed in accordance with the laws of Singapore.
Any dispute, controversy or claim arising out of or in connection with these Terms, including any question regarding their existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Rules for the time being in force, which Rules are deemed to be incorporated by reference into this clause.
The seat of arbitration shall be Singapore. The tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English.
Nothing in this Section shall prevent Kaito from seeking interim, injunctive or other urgent relief from any court of competent jurisdiction where such relief is necessary to protect Kaito's rights, property, confidential information or intellectual property pending the constitution of the arbitral tribunal or otherwise.
The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.
GENERAL
Entire Agreement. These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and Kaito concerning your use of the Extension.
Severability. If any provision is held to be invalid, illegal or unenforceable, it will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will remain in full force and effect.
Waiver. No failure or delay by Kaito in exercising any right or remedy will constitute a waiver of that right or remedy.
Assignment. You may not assign, transfer or otherwise dispose of any of your rights or obligations under these Terms without Kaito's prior written consent. Kaito may assign or transfer these Terms, in whole or in part.
Relationship. Nothing in these Terms creates any partnership, joint venture, agency, fiduciary or employment relationship between you and Kaito.
Force Majeure. Kaito will not be liable for any delay, failure or interruption resulting from circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, governmental action, internet or telecommunications failures, cyberattacks, third-party service failures, blockchain network failures or failures of Third-Party Platforms.
